These Terms of Use ("Terms") govern your use of our B2B outreach and marketing automation platform operated by Orza Inc. ("Company," "we," "us," and "our").

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING OUR PLATFORM.

By accessing or using the service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the service.

Acceptance of Terms

By accessing and using this platform, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Use License

Description of Service

We provide a platform to automate B2B outreach and marketing systems. The Platform is designed for internal business use and is accessible at https://www.orza.io. Our Platform is a web application (SaaS) hosted exclusively in the United States.

Eligibility

You must be at least 18 years old to use our Platform. By using our Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Geographic Availability

Our services are available to users in the United States, European Union, United Kingdom, and Australia.

User Accounts

To use certain features of our Platform, you must register for an account. When you register for an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security and confidentiality of your login credentials
Accept all risks of unauthorized access to your account
Immediately notify us of any unauthorized use of your account

The sale or transfer of your profile or account is strictly prohibited.

Subscription and Payment Terms

Subscription Plans

We offer subscription plans that automatically renew either monthly or annually. All subscriptions are paid in advance. We do not currently offer a free trial.

All payments are processed in US Dollars (USD).

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for the renewal subscription fee.

Cancellation

You may cancel your subscription at any time by logging into your account and following the cancellation procedures. Your cancellation will take effect at the end of the current billing period.

Refunds

You may request a refund by contacting us. All refund requests will be evaluated on a case-by-case basis at our sole discretion.

User Content

Our Platform allows you to upload content. You retain all rights to your content and grant us a license to use it solely for providing our services. You are responsible for all content you upload.

Prohibited Activities

You agree not to engage in any of the following activities:

Violating any applicable laws or regulations
Infringing intellectual property rights
Transmitting viruses or malicious code
Posting false or misleading information
Harassing, threatening, or harming others
Impersonating any person or entity
Interfering with or disrupting the Platform
Attempting unauthorized access to any part of the Platform
Using automated systems without permission
Reverse engineering our Platform
Selling or transferring your account
Sending spam or unsolicited messages
Violating the privacy of other users

Third-Party Links

Our Platform may link to other websites that we do not own or control. We are not responsible for the content, privacy policies, or practices of any third-party websites.

Dispute Resolution

Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. The arbitration will take place in Washoe County, Nevada, United States.

Arbitration Fees

Each party shall bear its own arbitration fees. We reserve the right not to pay arbitration fees if deemed excessive.

Court Proceedings

If any dispute exceeds the scope of arbitration, litigation shall take place exclusively in the state or federal courts located in Washoe County, Nevada.

Time Limit for Claims

You must bring any cause of action within one (1) year after the cause of action arises, or such claim will be permanently barred.

Limitation of Liability

To the maximum extent permitted by law:

Our total liability to you shall not exceed the amount you paid us in the six (6) months preceding any claim
We shall not be liable for any claim arising more than six (6) months after the event giving rise to such claim
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages

Indemnification

You agree to defend, indemnify, and hold harmless Orza Inc. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which can be found at https://www.orza.io/privacy-policy.

Intellectual Property

The Platform and its original content, features, and functionality are owned by Orza Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The updated Terms will be effective immediately upon posting. Your continued use of the Platform after any changes constitutes acceptance of the new Terms. We will not provide individual notification of changes to these Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Orza Inc. regarding the use of the Platform and supersede all prior agreements and understandings.
